Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Nexessity Studio software platform and any event websites or related services provided by us (collectively, the "Service"). References to "we", "us" or "our" mean Nexessity.

By purchasing a license, creating an account, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Nature of the Service

Nexessity Studio is a digital event management suite. When you purchase a package, you are purchasing a time-limited, non-exclusive, non-transferable license to use a dedicated event website and management tools for a specific event (for example, a wedding, engagement, or private party).

The Service may include, without limitation:

  • Sending digital invitations via WhatsApp and/or email.
  • Collecting RSVPs and guest information (such as dietary preferences).
  • Generating QR-code tickets for guest entry.
  • Managing seating charts via a drag-and-drop interface.
  • Hosting a digital photo gallery for the event.

We provide a software platform only. We do not provide event planning, coordination, or on-site management services.

3. Account Setup & Provisioning

In most cases, you will contact us to discuss your event requirements. Once we agree on a package and payment is received, we will:

  • Create or configure your Nexessity Studio host account (if applicable).
  • Provision your event website, settings, and access details.

You are responsible for reviewing and confirming that your event website and configuration meet your needs before sharing the link with your guests.

4. Eligibility & Host Responsibilities

You must be at least 18 years old and have the legal capacity to enter into a contract to purchase and use the Service. You are responsible for:

  • Providing accurate information about your event.
  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your account.

5. User Content & Acceptable Use

You are responsible for all content you upload or provide, including text, images, media, and guest data ("User Content"). You agree that you will not use the Service to:

  • Upload or distribute content that is illegal, harmful, defamatory, obscene, or discriminatory.
  • Send unsolicited or unauthorized bulk messages or spam via the invitation system.
  • Violate the privacy, publicity, or other rights of your guests or third parties.
  • Attempt to gain unauthorized access to the Service or related systems.

We reserve the right to suspend or terminate your access to the Service, without refund, if we reasonably believe that your use violates these Terms, creates a security risk, or exposes us or others to liability.

6. Payments, Pricing & Taxes

Fees for the Service are payable in advance in the currency displayed at checkout or on the invoice. Prices may be shown exclusive of taxes. Any applicable VAT, sales tax, or similar charges will be added at checkout where required by law.

Payments are processed by our designated third-party payment partners (Merchant of Record). Your payment information is collected and processed directly by the payment provider in accordance with their own terms and privacy policy. We do not store your full payment card details on our servers.

7. License & Intellectual Property

All rights, title, and interest in and to the Service, including the Nexessity Studio platform, designs, templates, software, and underlying technology, are and will remain the exclusive property of Nexessity and its licensors.

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use your event website and related tools for the duration of your active package and solely for the purposes of hosting and managing your event.

You retain ownership of your User Content. By submitting User Content to the Service, you grant us a worldwide, non-exclusive license to host, store, reproduce, and display that content solely as necessary to operate and provide the Service to you and your guests.

8. Term & Termination

Your license is valid for the period associated with your event package (for example, from purchase date until a defined period after the event). At the end of this period, your event website may be deactivated or archived, and access for guests may be disabled.

We may suspend or terminate your access to the Service (in whole or in part) if you breach these Terms, fail to pay any amounts due, or if we reasonably believe your use of the Service may cause harm or legal liability to us, other users, or third parties.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we do not make any warranties or representations, express or implied, about the Service, including, without limitation, any warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee uninterrupted or error-free operation of the Service, continuous availability, or that any defects will be corrected. You are responsible for maintaining appropriate backups of your content and data.

10. Limitation of Liability

To the maximum extent permitted by law, Nexessity shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, data, or business arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

To the extent permitted by law, our total aggregate liability arising out of or relating to the Service shall not exceed the total amount paid by you for the event package giving rise to the claim.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law.

11. Changes to the Service and Terms

We may update or modify the Service from time to time, including by adding or removing features. We may also update these Terms occasionally. When we do, we will revise the "Last Updated" date at the top of this page. Your continued use of the Service after any changes take effect constitutes your acceptance of the updated Terms.

12. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or the Service shall be governed by and construed in accordance with the laws applicable in the jurisdiction where we are established, without regard to conflict of law principles.

You agree that the competent courts in that jurisdiction shall have exclusive jurisdiction to resolve any dispute or claim arising out of or in connection with these Terms or the Service.

Privacy Policy

1. Introduction

This Privacy Policy explains how Nexessity ("we", "us", or "our") collects, uses, and protects personal data in connection with the Nexessity Studio platform and event websites (the "Service").

By using the Service, you acknowledge that you have read and understood this Privacy Policy.

2. Data We Collect

We collect different types of information depending on how you use the Service:

2.1 Host Data

  • Contact details such as name, email address, and phone number.
  • Billing information and transaction details (amounts, currencies, invoice details).
  • Event information (event type, date, venue, and related preferences).

2.2 Guest Data

  • Names and contact details such as email addresses and phone numbers.
  • RSVP responses and attendance status.
  • Optional information such as dietary preferences, family relationships, or seating preferences.

2.3 Media & Content

  • Photos and media uploaded to your event website or live gallery.
  • Messages or notes (for example, guest messages on a digital guestbook).

2.4 Usage & Technical Data

  • Log data such as IP address, browser type, device information, and pages viewed.
  • Approximate location based on IP address.
  • Analytics data about how the Service is used (e.g., number of RSVPs, page views).

2.5 Payment Information

Payments are processed by our third-party payment partners. Payment card details and other sensitive payment information are collected and processed directly by the payment provider in accordance with its own terms and privacy policy. We do not store your full card number or CVV on our systems.

3. How We Use Personal Data

We use the personal data we collect for the following purposes:

  • To provide and operate the Service, including hosting your event website and processing RSVPs.
  • To send invitations, reminders, and transactional emails on your behalf.
  • To generate, display, and manage QR-code tickets and seating charts.
  • To manage your account, payments, and customer support requests.
  • To monitor and improve the performance, security, and functionality of the Service.
  • To prevent fraud, abuse, and security incidents.
  • To comply with legal obligations and enforce our Terms of Service.

We do not sell or rent guest lists or personal data to third-party advertisers.

4. Legal Bases for Processing (Where Applicable)

Where required by law (for example, if you are located in the European Economic Area or the United Kingdom), we rely on the following legal bases to process personal data:

  • Performance of a contract: To provide the Service to hosts and their guests.
  • Legitimate interests: To secure and improve the Service and to prevent misuse.
  • Consent: For certain optional uses, such as marketing communications where required.
  • Legal obligations: To comply with applicable laws and regulations.

5. Sharing of Personal Data

We may share personal data with:

  • Service providers who help us operate the Service, such as hosting providers, email delivery services, and analytics providers.
  • Payment Processors, for billing and financial services.
  • Professional advisors, such as lawyers, accountants, or auditors, where necessary.
  • Authorities or third parties if required by law or to protect our rights, safety, or the rights and safety of others.

We require our service providers to handle personal data in a secure manner and only for the purposes we specify.

6. International Data Transfers

We may process personal data in countries other than the one in which you are located, including countries within the European Union and other jurisdictions where we or our service providers operate. Where we transfer personal data from the EEA or UK to countries that do not provide an equivalent level of data protection, we take appropriate measures to protect your data, such as using contractual safeguards where required by law.

7. Data Retention

We retain personal data for as long as necessary to provide the Service, to comply with our legal obligations, resolve disputes, and enforce our agreements.

For event data specifically, we generally keep your event website and guest data for the duration of your active license and for a reasonable period after the event (for example, to allow you to download reports or galleries). You may request earlier deletion of guest data and media by contacting us.

8. Data Security

We use reasonable technical and organizational measures designed to protect personal data against unauthorized access, loss, misuse, or alteration. However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.

9. Cookies & Analytics

We may use cookies and similar technologies to operate the Service, remember your preferences, and understand how our platform is used. You can usually configure your browser to refuse cookies or to alert you when cookies are being set. If you disable cookies, some features of the Service may not function properly.

10. Your Rights

Depending on your location, you may have certain rights regarding your personal data, which can include:

  • The right to access and obtain a copy of your personal data.
  • The right to request correction of inaccurate or incomplete data.
  • The right to request deletion of your data in certain circumstances.
  • The right to object to or restrict certain types of processing.
  • The right to data portability, where applicable.

11. Children

The Service is intended for adult hosts. While guests of all ages may be invited to events, event hosts are responsible for ensuring that any guest information they share with us is collected and provided in compliance with applicable laws, including those relating to children.

12. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. When we do, we will revise the "Last Updated" date at the top of this page. If we make material changes, we may provide additional notice (such as by email or a prominent notice on the dashboard). Your continued use of the Service after any changes take effect indicates your acceptance of the updated Privacy Policy.

Refund Policy

1. 14-Day Money Back Guarantee

In compliance with consumer protection standards, we offer a 14-day refund window from the date of purchase. If you are not satisfied with the Nexessity platform, you may request a full refund within this period.

2. Conditions for Refund

To prevent abuse of the platform, the refund is valid provided that you have not yet had the benefit of the service.

We define "having the benefit" as using the software to send live invitations or process active guest RSVPs. Once the platform has been used to distribute invitations to guests, you are deemed to have had the benefit of the product, and the license fee becomes non-refundable.

3. Technical Failures

Exceptions are made only if the software fails to function as described and we are unable to resolve the issue within 7 days of a critical support ticket being logged. In such a case, a full refund will be issued regardless of the deployment status.

4. Duplicate or Unauthorized Charges

If you believe you have been charged in error (for example, a duplicate charge), please contact us promptly. If the charge is confirmed to be a genuine processing error, we will arrange for a correction or refund immediately.

5. Purchases via Third-Party Payment Providers

If your purchase was processed by a third-party Merchant of Record (such as Paddle, Lemon Squeezy, or an App Store), approved refunds will be issued by that provider in accordance with their specific refund procedures. We will assist you in submitting the necessary approval to them to facilitate this process.

6. How to Request a Refund

To start a request, please email studio@nexessity.net with:

  • Your full name and email address.
  • The event name and approximate purchase date.
  • The transaction ID or invoice number.
  • The reason for the refund request.
